1. Legal Framework and Acceptance of Terms

Welcome to Q9 Shop (hereinafter referred to as the "Company", "We", "Us", or "Our"). We provide an online Business-to-Business (B2B) directory, catalog presentation portal, and inquiry generation web application dedicated exclusively to the global Industrial Machine Manufacturing sector (the "Platform" or "Site").

This Terms of Use document is an electronic record in terms of the Information Technology Act, 2000 and the provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical, electronic, or digital signatures. This document is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, which require the publishing of rules and regulations, privacy policy, and terms of use for access or usage of an intermediary platform.

By registering on, accessing, browsing, scraping, or utilizing our Platform, you explicitly acknowledge that you have read, understood, and agree to be bound by these Terms of Use, along with our Privacy Policy. If you do not agree with any part of these terms, you are legally prohibited from accessing or utilizing our Platform and must exit immediately.

2. Eligibility and User Representation

Use of the Platform is available only to persons who can form legally binding contracts under the Indian Contract Act, 1872. Because Q9 Shop is a dedicated B2B commercial directory, you represent and warrant that:

• You are accessing the Platform strictly on behalf of a validly registered corporate entity, partnership, proprietorship, or commercial enterprise.
• The individual establishing the account has the explicit corporate authorization to bind the company to these terms.
• You are at least 18 years of age. Minor individuals are strictly prohibited from creating business listings, handling admin panels, or posting product inquiries on this Platform.

3. Description of Platform and Functional Operations

The Company and its management have created these pages and the underlying software services as a specific feature and as an directory service to support the global industrial and engineering community. Q9 Shop operates strictly as an online intermediary aggregator. The core functionalities are restricted to:

1. Company Profiles: Allowing industrial machine manufacturing enterprises to register their businesses and host their official organizational details.
2. Product Digital Catalogs: Providing space for registered companies to display machinery specifications, dimensions, images, and instructional text.
3. Inquiry Generation Tools: Enabling site visitors to review listings and transmit direct business inquiries, quote requests, and trade leads to the listed manufacturer.
4. Feedback Channels: Allowing users to submit public reviews and ratings based on structural interactions, which manufacturers can view via their backend panel.

4. Crucial Trans-Border Disclaimer: No Online Purchases

All Users are explicitly notified of the technical and structural boundaries of our app model:

• No E-Commerce Transactions: Q9 Shop does not facilitate, host, support, or execute online sales, digital checkout functions, or commercial shopping cart configurations for any industrial machinery listed on the Platform.
• No Gateway Interface for Products: The Site does not feature any integrated payment infrastructure, processing gateway, or escrow setup for purchasing or routing money for physical industrial equipment.
• Independent Offline Commerce: All negotiations, commercial contracts, pricing setups, final payments, and logistics operations must occur completely offline, directly between the inquiring buyer and the listing manufacturer. Q9 Shop remains fully detached from, and carries zero liability or oversight for, these independent external business transactions.

5. Paid Listing Facility and Subscription Provisions

While we do not process machine sales, Q9 Shop charges for corporate exposure:

• Paid Listing Charges: We provide a Paid Listing Facility where manufacturing companies pay set subscription fees or structural charges to attain high-level visibility, premium badging, or expanded data capacity inside our directory.
• Billing and Adjustments: Subscription payments for our facility are managed via secure external gateway channels, subject to prevailing Indian tax enactments (GST).
• Modification Rights: The Company reserves the absolute right to change the nature of the paid Services offered here, alter listing fee parameters, or discontinue its Services to any member without any prior notice. All fees paid for our Paid Listing Facility are non-refundable once the admin panel features have been structurally provisioned.

6. Mandatory Warning Against Fraud and User Due Diligence

All Users are advised to be very careful while doing business with individuals, body corporates, or companies from any part of the world. Users must exercise due caution while transacting with a prospective buyer or a seller on the Site.

You must undertake interactions or transactions with organizations and/or individuals located on or through the Site with reasonable caution and after undertaking thorough diligence on such organization and/or individual. Neither the Company nor its directors, employees, officers, or agents shall be liable to any User or otherwise for any illegal or fraudulent interaction or transaction with organizations and/or individuals located on or through the Site.

To safeguard your commercial interests, you are strictly advised to adhere to the following security protocols:

• Advance Money / Legal Fee Safeguards: Users are advised to not send any advance money, legal fees, or products unless there is verified cash in your account or an irrevocable letter of credit from the buyer, duly authorized by the buyer’s bank.
• Payment Verification Prior to Shipping: Users are advised not to transact business unless full payment is made to you before shipping of the products.
• Credit Card Protocols: When a User receives any order negotiated through details found on this platform that is proposed to be paid by Credit Card, it is recommended that you ask for a written Credit Card Authorization. Please get the validity of the Credit Card checked with your bank or contact credit networks directly. Unless the validity is completely confirmed, do not ship any goods.
• Bank Draft Verifications: There have been historical cases in international trade of entities receiving fraudulent Bank Drafts with unauthorized printing of Bank Names. Before shipping any industrial machinery or advancing any partial cash elements, you must wait for your banking institution to fully clear the Bank Draft or Check.
• Registration / License / Tender Fee Exploitation: Cases have been reported in global trade where fraudulent entities send offers to buy a massive quantity of goods after the seller pays them a Registration, License, or Tender Fee. They post attractive offers to buy heavy quantities of materials. Once you submit your corporate bid, you are notified that your Tender has been accepted and are asked to pay advance legal fees or tender processing charges. DO NOT PAY ANY SUCH FEE. Do not ship any machinery or related hardware unless you have the cash confirmed in your account by your bank.

7. Q9 Shop Verified Badge and Disclaimers

The Platform may showcase a "Q9 Shop Verified" badge on certain corporate listings. The usage of this badge is strictly subject to the following structural limitations:

• General Badge Disclaimer: The Q9 Shop Verified badge signifies solely that a manufacturer's basic business details have been independently reviewed or cross-referenced by a third-party service provider or external data verification systems. The Company does not assume any responsibility or liability for the ongoing accuracy, reliability, or real-time authenticity of the information provided.
• Scope of Badge Verification: This verification is strictly limited in its structural scope (such as basic corporate existence or address validation). It does not constitute an endorsement, guarantee, valuation, or assurance of the manufacturer’s fiscal credibility, product operational quality, or overall financial stability.
• No Guarantee of Business Conduct: The Q9 Shop Verified badge reflects historical verification of background registration details only. It does not guarantee the manufacturer's ethical conduct, adherence to local contractual timelines, or the structural safety of the machines they build.
• Independent Third-Party Process: The authentication process is managed by independent third-party organizations. Q9 Shop neither completely oversees nor controls their daily workflows, and we disclaim any liability for discrepancies, omissions, inaccuracies, or damages resulting from the verification outcomes.
• User Acknowledgment: By engaging with a Q9 Shop Verified seller, buyers explicitly acknowledge that our role is strictly confined to displaying this third-party check indicator and that the Company bears no responsibility for the final real-world outcomes of your commercial transactions.

8. Prohibited Content and Anti-Counterfeiting Policy

As an intermediary, Q9 Shop maintains zero tolerance for unlawful data hosting. You are strictly prohibited from uploading, displaying, or advertising any materials that violate third-party Intellectual Property Rights.

• Counterfeit Prohibition: The listing of counterfeits, non-licensed replicas, or unauthorized variations of industrial machinery is strictly prohibited on the Site.
• IP Authorization: No products or specialized engineering designs can be advertised on the Site without explicit permission from the rightful intellectual property right holder. All third-party intellectual property rights are owned entirely by their respective third-party owners and not by Q9 Shop or its general user base.
• Content Restrictions: Under the IT Rules 2021, you must not upload content that is defamatory, deceptive, ethnically objectionable, or contains malicious code designed to disrupt our database operations. We preserve the unilateral right to delete any offending material instantly.

9. Exclusion of Warranties and Force Majeure

No warranty or condition—expressed, implied, or statutory—is being provided to the User. The Company hereby specifically disclaims any quality, durability, accuracy, reliability, and all express or implied warranties, including but not limited to warranties of title, merchantability, fitness for a particular purpose, or performance. The Company does not make any representation or warranties of any kind about any product or services offered, displayed, or hosted on the Site. All such warranties, representations, conditions, and undertakings are hereby excluded.

Under no circumstances shall the Company be held liable for any delay, failure, or disruption of the content or services delivered through the Site resulting directly or indirectly from acts of nature, forces, or causes beyond our reasonable control. This includes, without limitation: internet failures, computer crashes, telecommunications or any other equipment failures, electrical power outages, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, floods, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals, or the non-performance of third parties or other force majeure conditions.

10. Absolute Limitation of Liability

Under no circumstances will the Company be liable for direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profit, goodwill, use, data, or other intangible losses arising out of or in connection with the use of the services provided by the Company ("Damages"), whether arising out of or in connection with or otherwise in relation to any business or other transaction conducted in relation to the service(s).

11. Indemnification

The User hereby indemnifies and holds the Company, its directors, officers, and employees harmless against any and all losses, claims, liabilities, injuries, and Damages that may arise out of the User’s breach of this Disclaimer, these Terms of Use, the Intermediary Agreement, the hosting of Illegal/Prohibited Content, or any breach of the representations or warranties made by the User herein.

12. Account Deletion, Termination, and Jurisdiction

• Termination: We retain the right to suspend your admin panel access or terminate your directory listings without notice if fraudulent patterns are identified.
• Account Deletion: Users can request profile erasure by writing to Info@q9shop.in. We will scrub the public visibility of the profile within legal timelines, retaining only core invoicing and registration logs necessary to fulfill Indian tax and corporate law compliance.
• Governing Law: This agreement shall be governed by the laws of India. Any legal action or dispute arising out of this contract must be filed exclusively before the courts of competent jurisdiction located in Ahmedabad, Gujarat, India.

13. Grievance Officer Details

In accordance with the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023, the details of our Grievance Officer are set forth below for the resolution of any compliance, content, or data protection queries:

We will acknowledge your grievance submission within 24 hours and ensure systematic redressal within 15 days from the date of its registration.
